and people in the fashion and modeling industry. ModelManila.com provides an online service and communication on a professional level
among models, talent searchers, photographers, agents, agencies and people related to the modeling industry.

2.        ModelManila.com provides a premium service at minimal or no cost at all to models, talent searchers, photographers, agents,
agencies and people related to modeling industry. And with several thousand models photographers, agencies, modeling professionals
online, the success speaks for itself.

3.         ModelManila.com is NOT a modeling agency, but rather an online venue to showcase and promote model aspirants via an exclusive
online portfolio that ModelManila.com provides.

4.        If you are a registered ModelManila.com Talent searcher, you shall use this site and make transactions with models strictly for
business and professional reasons, under the scope of Philippine Law.

5.         Whether you are a model aspirant or talent searcher, you confirm that all the information you post on the site are accurate, legitimate,
and true.

6.          Disclaimers:
a.) The Service and the Sites contain information, facts and opinions from various individuals and organizations. THE SERVICE AND THE
SITES ARE PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT
NOT LIMITED TO WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR
PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE IMPOSED BY AND INCAPABLE OF EXCLUSION, RESTRICTION OR
MODIFICATION UNDER THE LAWS APPLICABLE TO THIS AGREEMENT. NEITHER MODELMANILA, INC. NOR ITS AFFILIATES ENDORSE
OR ARE RESPONSIBLE FOR THE ACCURACY OR RELIABILITY OF ANY OPINION, ADVICE OR STATEMENT ON THE SERVICE OR THE
SITE. While strict measures are taken to ensure the reliability, accuracy and safety of all information posted on the site, ModelManila.com
is not responsible for any consequence, damage or loss to any individual or business entity as a direct or indirect result of any information
available on the site and its numerous services. ModelManila.com is not responsible for any incorrect or inaccurate Content posted on the
Web site or in connection with the Service, whether caused by users of the Web site, Members or by any of the equipment or programming
associated with or utilized in the Service.   ModelManila.com is not responsible for the conduct, whether online or offline, of any user of the
Web site or Member of the Service.

b.) The Service and the Sites include Databases and forums which allow you and other users to post information, provide feedback to
ModelManila.com and its affiliates. You agree not to post or transmit any unlawful, harmful, threatening, abusive, harassing, defamatory,
vulgar, obscene, profane, hateful, racially, ethnically or otherwise objectionable material of any kind, including, but not limited to, any
material which encourages conduct that would constitute a criminal offense, violate the rights of others, or otherwise violate any applicable
local, state, national or international law. In addition you will not post information or correspondence that is not of professional conduct.
You will be responsible for, and indemnify and hold harmless ModelManila.com, its subsidiaries, divisions, affiliates, agents and
representatives against, any claim arising from any material that you post or transmit. Although ModelManila.com and its affiliates may from
time to time monitor or review forums, postings, and transmissions on the Site, neither ModelManila.com nor its affiliates is under any
obligation to do so. You acknowledge that ModelManila.com and its affiliates do not control the information available on the forums and that
any opinions, advice, statements, services, offers or other information or content presented or disseminated on any forum are those of their
respective authors who are solely liable for their content. ModelManila.com and its affiliates reserve the right, in their sole discretion, to edit,
refuse to post or remove any material submitted to or posted forums or postings. ModelManila.com and its affiliates reserve the right, in
their sole discretion, deny access to the e-mail systems provided for general community use.

c.) Your use of the Service and the Sites is at your own risk. NEITHER MODELMANILA.COM, NOR ANY OF ITS SUBSIDIARIES, DIVISIONS,
AFFILIATES, AGENTS, REPRESENTATIVES OR LICENSORS SHALL BE LIABLE TO YOU OR ANYONE ELSE FOR ANY LOSS OR INJURY
OR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR SIMILAR DAMAGES ARISING OUT OF YOUR
ACCESS OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SERVICE AND THE SITES AND THE INFORMATION AVAILABLE ON
THE SERVICE AND THE SITES OR ARISING OUT OF ANY ACTION TAKEN IN RESPONSE TO OR AS A RESULT OF ANY INFORMATION
AVAILABLE ON THE SERVICE AND THE SITES. YOU HEREBY WAIVE ANY AND ALL CLAIMS AGAINST MODELMANILA.COM AND ITS
SUBSIDIARIES, DIVISIONS, AFFILIATES, AGENTS, REPRESENTATIVES AND LICENSORS ARISING OUT OF YOUR USE OF THE SERVICE
AND THE SITES AND THE INFORMATION AVAILABLE THEREON.

7.         Any communication or material you post or transmit to the Service and/or the Sites is, and will be treated as, non-confidential and
non-proprietary. You assume full responsibility for anything you post or transmit, and you grant ModelManila.com and its affiliates the right
to edit, copy, publish and distribute any information or content you post or transmit for any purpose.

8.         ModelManila.com and its affiliates do not review or monitor any web sites linked to the Service or from personal profiles on this site.
When clicking links to personal pages from ModelManila.com all users of the system acknowledge that ModelManila.com is not
responsible for the accuracy or content of those links. Posting of URL's that lead to ADULT SITES or Pay Sites is not allowed and your
profile will be removed from this site.
9.         ModelManila.com has a stated policy regarding the posting of sexually explicit images to it's web pages. Sexually explicit images are
not permitted on this site. Sexually explicit images include but are not limited to images of sexual intercourse, obvious states of sexual
arousal (erections), or overt sexual positions (such as noticeably visible or spread genitalia). Failure to adhere to this restriction will result
in the removal of the images, and the disablement of that member profile. Consistent misclassification (rating) or categorization of images
may result in the forced setting of ratings and in gross violations may result in the removal of your profile.

10.         You should be aware that if you voluntarily disclose personal information (e.g., user name, email address) on a bulletin board or in
a chat room, that information can be collected and used by others and may result in unsolicited messages from other parties, and shall
therfore be the sole responsibility and liability of the poster.

11.         As a member of ModelManila.com - you will receive regular email updates and will be contacted by other system members seeking
to work with you, and you will receive occasional email from the administrators. As new features are added and developed you will be
informed or included in these new features and enhancements - some of which may be email based. We endeavor to limit email contact
as much as possible from the system administrators, however when email is sent and returned with an email bad address, we will
attempt to locate a correct address from any linked web site, and failing that your profile will be disabled (if you discover your profile has
been disabled because of bad contact information, please contact us with the correct information and we will re-activate your profile.

12.        ModelManila.com reserves the right to post and take down any photos that you voluntarily submit for any reason whatsoever.

13.        ModelManila.com reserves the right to make use of your photos for any of its activities.

14.         In the event that you as the model aspirant are unable to submit suitable photos within 48 hours after submitting your online
application, ModelManila.com reserves the right to exercise any of the following options:
a.) ModelManila.com shall not post your online portfolio until your submission of suitable photos
b.) ModelManila.com shall extract any suitable photo/s that you may have on other public domains

15.         This User Agreement and any disputes arising out of or related to the Service and the Sites shall be governed by, and construed
and enforced in accordance with, the laws of the Philippines. By your usage of, or your posting to, this site constitutes your agreement to,
but not limited to, the current conditions listed in this agreement.

16.        If you are under eighteen (18) years of age, you hereby confirm that you transact with ModelManila.com with the full consent of your
parent or guardian of legal age.

17.         Any violation of these Terms and Conditions will automatically cause termination of your membership without a refund if any
payment has been rendered by you prior.
